All quotations issued by the Company are subject to change and are not binding with respect to price, quantity, delivery time or product availability until confirmed in writing. Product descriptions, specifications and weights are indicative and may vary within standard industry tolerances unless explicitly stated as binding. The Company reserves the right to make commercially reasonable changes to specifications or composition within normal industry standards.
Unless otherwise agreed in writing, prices include standard packaging and delivery to the designated destination, excluding VAT. Prices may adjust due to changes in taxes, raw-material costs or other factors if the period between order confirmation and delivery exceeds four weeks; customers will be notified and may withdraw within two weeks. Increases in freight, customs or related charges after confirmation are borne by the customer, who must provide their VAT Identification Number when ordering.
Delivery timelines commence from the date specified in the written order confirmation. Delivery is complete when goods are dispatched or the customer is notified of readiness for collection. Delays caused by the customer do not affect fulfilment obligations. Force majeure, strikes or supply-chain disruptions extend the delivery period accordingly. Delivery obligations are suspended for customers with overdue invoices until payment is settled.
The Company determines the dispatch route and method, taking the customer's interests into account. Insurance for goods in transit is arranged on request at the customer's expense. Risk of loss or damage transfers to the customer upon dispatch or notification of availability, regardless of whether delivery is freight-free. Goods must be accepted unless defects significantly impair usability.
Invoices are issued electronically unless otherwise requested. Payment terms are 30 days from invoice date unless agreed otherwise. Payment is complete only upon receipt in the Company's designated bank account. Late payments incur interest at 9% above the applicable base rate. On default, the Company may demand advance payments, suspend deliveries or terminate the contract after due notice.
On receipt, the customer must inspect goods for defects. Visible defects must be reported in writing within eight days; hidden defects within three working days of discovery. Failure to meet these timelines forfeits warranty claims. The Company limits liability to replacing defective goods or issuing a credit note, and excludes damages from improper storage or usage.
Store gelatin in dry, odorless conditions to maintain integrity. The Company accepts no liability for damage from improper storage. Technical advice is based on industry expertise but is non-binding; customers must verify suitability for their intended use.
Ownership of goods remains with the Company until all outstanding payments are settled. Processed or combined goods retain co-ownership in proportion to the value provided. The customer must store goods with care, insure them against loss or damage, and not assign or offer them as security without prior written approval.
These Terms and all associated contracts follow the laws of Pakistan. Disputes fall under the exclusive jurisdiction of the courts in the region where the parties sign the contract. If any provision is found invalid, the remaining provisions stay in effect. The Company may modify these Terms at any time, effective upon notification.
